Tax Information

As a security holder in Babcock & Brown Infrastructure, you own shares in a company, Babcock & Brown Infrastructure Limited ("BBIL") and units in a trust, Babcock & Brown Infrastructure Trust ("BBIT"). Babcock & Brown Investor Services Limited ("BBIS") is the Responsible Entity for BBIT. The share in BBIL and the unit in BBIT form a "stapled security" which cannot be separately traded although they are taxed on a different basis.

BBI security holders receive a distribution statement each time BBI pays a distribution.  In addition, each year BBI provides all Security Holders with a Taxation Statement Guide ('the Guide'). The purpose of the Guide is to provide you, as a security holder in Babcock & Brown Infrastructure, with general information regarding the tax implications arising from the receipt of the relevant year's distributions from BBIT.

As at September 2007, all interim and final distributions paid by BBIT to date (including interim and final distributions for the 2007 financial year) represent 'tax deferred' amounts and relate to your entitlement to the surplus funds of BBIT for the relevant period. As such, the information on your interim distribution statement and on your final distribution statement, for the majority of security holders, should not need to be disclosed on your 2007 income tax return.  This information will be relevant when you dispose of your securities in Babcock & Brown Infrastructure.

The 2007 Guide has been prepared on the basis of taxation laws prevailing as at the date of the Guide. The Guide is intended to assist security holders in meeting their income tax compliance obligations. Security holders are not entitled to rely upon this information in relation to managing their specific tax affairs. Security holders should obtain their own tax advice in relation to the taxation implications associated with their investment in Babcock & Brown Infrastructure.
